Elo’s Annual General Meeting elected five new members to the Supervisory Board

Elo’s Annual General Meeting was held on Monday, 25 April 2022. The Annual General Meeting approved the financial statements and the consolidated financial statements, decided on the disposal of the profit in accordance with the proposal of the Board of Directors, and released from liability the members of the Supervisory Board and the Board of Directors as well as the CEO. Additionally, the Annual General Meeting decided on changes to be made to Elo’s Articles of Association.

Upon the decision of the Annual General Meeting, the number of members on the Supervisory Board decreased from 42 to 36. New members elected to serve on the Supervisory Board:

• Mika Hagberg, CEO, Paree Group
• Henrik Karvonen, CEO, Etelä-Pohjanmaan Osuuskauppa
• Ismo Kokko, President, Transport Workers’ Union AKT
• Tuomas Mäkipeska, CFO, YIT Group
• Päivi Suutari, Managing Director, MM Kotkamills

The following members whose term expired were re-elected: Stefan Borgman (STTK), Leena-Mari Lähteenmaa (EK), Pekka Metsi, Harri Miettinen, Mats Nyman (Akava), Katariina Poskiparta, Ansu Saarela, Katja Syvärinen (SAK) and Janne Ylinen.

The Annual General Meeting also decided on the remuneration for the Supervisory Board. The annual fees for the Chairman and Deputy Chairman were increased and all other fees remain unchanged. The Chairman and Deputy Chairman of the Supervisory Board are paid annual fees totalling 6,000 and 4,000 euro, respectively. The current meeting fee for members is 800 euro. The members of the Supervisory Board are insured under the Employees Pensions Act, Section 8, and accordingly, their fees are subject to a TyEL contribution.

The Annual General Meeting appointed the KHT audit firm of Ernst & Young Oy as the company’s auditor for the financial year 2022. Heikki Ilkka shall continue as Appointed Auditor.
